The $100,000 Amazing Auto Loan Giveaway Sweepstakes (the "Promotion") (hereinafter collectively referred to as “The $100,000 Amazing Auto Loan Giveaway Sweepstakes”) is sponsored by Electric Media, Inc. ("EM"). By entering the Promotion, you agree to comply with and be bound by the following official contest rules (the "Rules"). Please review the Rules carefully. If you do not agree to the Rules in their entirety, you are not permitted to enter the Promotion.
ELIGIBILITY:
The Promotion is open to legal residents of the United States and the District of Columbia, living in the United States and the District of Columbia, who are at least eighteen (18) years of age. The Promotion is void in Puerto Rico and in any other jurisdiction where the Promotion is prohibited by law, rule or regulation. Employees, members, officers and directors of EM and SCA Promotions, Inc. ("SCA"), their legal representatives, affiliates, parents, subsidiaries, advertising, promotional, fulfillment and marketing agencies, immediate families (and those living in the same households) are not eligible to enter the Promotion. HOW TO ENTER:
Contestants wishing to enter the Promotion must first visit www.amazingautoloangiveaway.com or www.aalgscholarships.com (collectively, the "Website") and complete the online registration form located on the Website page designated by EM. Each contestant must include his or her correct and verifiable: (a) full name; (b) full mailing address; (c) home telephone number; (d) work telephone number; (e) e-mail address; and (f) date of birth (collectively, "Registration Data"). Applying for an auto loan is not a requirement for entry into the Promotion. Contestants must update their Registration Data, as necessary, to remain eligible to win. Confirmation of entry will be e-mailed to the e-mail address provided by the contestant during registration. Contestants must click on the link contained in the confirmation e-mail for purposes of confirming that their entry and email address is valid. Failure to confirm entry and email address shall invalidate the entry. Multiple entries will not be accepted. Contestants may only enter one (1) time during each "Quarterly Prize" period as detailed below. If multiple entries are submitted by a contestant in excess of this limitation, only one (1) entry will qualify for the applicable period. Any and all additional entries that are submitted by the same individual beyond this limitation will be discarded. EM reserves the right to reject any entries that it believes, in its sole and reasonable discretion, are fraudulent, incomplete or otherwise invalid. By registering for the Promotion, contestants also agree to accept e-mail and direct mail marketing messages from EM and its advertising affiliates. ALTERNATIVE MEANS OF ENTRY:
As an alternative means of entry, you may hand print your verifiable full name, full mailing address, home telephone number, work telephone number, e-mail address and date of birth, on a plain piece of 3" x 5" paper. Mail your entry in a business-size (#10) envelope with first-class postage affixed, to: Electric Media, Inc., Attn: Amazing Auto Loan Giveaway Sweepstakes, 169 South Main Street, PMB 311, New City, NY 10956. Mail-in entries must be postmarked at least fourteen (14) days prior to the end of the Promotion Period to help ensure timely receipt and entry into the drawing. The contestant will be notified via certified mail and/or telephone if he/she is a winner. No mechanically reproduced entries permitted. Limit one (1) entry per envelope, and one (1) mail-in entry during each "Quarterly Prize" period as detailed below. If more than one (1) entry is received per envelope, only one (1) such entry received will be eligible. Confirmation of your entry will be mailed to you via U.S. Mail or e-mailed to the e-mail address provided during registration, where available. Any improperly submitted mail-in entries will be VOID. EM is not responsible for entries, claims or notices that are lost, late, illegible, misdirected, damaged, incomplete, incorrect or postage due. Entries will be accepted every day, excluding legal holidays which, for the purposes of the Promotion, shall include New Years Day, Easter Sunday, Memorial Day, Independence Day, Labor Day, Thanksgiving Day and Christmas Day.

IDENTIFICATION OF ENTRANTS:
Each entry will be automatically randomly assigned an eight (8) digit Encrypted Entry Number between 00000000 - 99999999 ("EEN") that comprise the Promotion Database. For purposes of these Rules, the "Promotion Database" is defined as the entire list of EEN numbers. EM will stop accepting entries at 11:59:59 p.m. Eastern Standard Time ("EST") on March 15, 2010.

HOW TO WIN GRAND PRIZE:
On March 16, 2010, the eight (8) digit winning number for the Grand Prize that was randomly selected by SCA, an independent third party, will be revealed and, where applicable, matched up with the EEN of the winner. The Grand Prize winner, if any, will be notified via e-mail (or certified mail and/or telephone if contestant is a mail-in entrant) within thirty (30) days after the selection of the winning EEN (contestants should ensure that their contact information is accurate and up to date). The Grand Prize winner will be subject to eligibility verification. The Grand Prize winner will be required to execute and return a notarized Affidavit of Eligibility and Liability/Publicity Release within thirty (30) days following attempted notification. Non-compliance within this time period may result in forfeiture of the Grand Prize. The Grand Prize winner will be required to provide picture proof of identification, which may include a driver's license, passport, voting card or similar government issued identification. Return of any prize/prize notification as undeliverable may result in forfeiture. In no case shall EM be liable in any manner where a Grand Prize winner has not received notification sent from EM or where EM fails to receive a response from the winner within the required response period.

The winning EEN and associated entry must identically match the records maintained by SCA and EM in order for a Grand Prize to be awarded. In the event of a dispute, the information maintained by SCA and EM will govern. Entries will be deemed made by the person under whose name the entry was registered, regardless of who actually submitted the entry. Be sure to use your correct name and your own e-mail address (correct postal address and telephone number if you are a mail-in entrant). In the event that there is any failure, error or other difficulty in the transmission of the EENs to the prize provider for the Grand Prize drawing, the drawing will be canceled at EM's sole discretion.

GRAND PRIZE DESCRIPTION:
The Grand Prize winner, if any, will receive One Hundred Thousand Dollars ($100,000.00) payable by check in one lump sum.

ODDS OF WINNING GRAND PRIZE:
The odds of winning the Grand Prize are 1:100,000,000.

HOW TO WIN QUARTERLY PRIZES:
On each of June 16, 2009, September 16, 2009, December 16, 2009 and March 16, 2010, Quarterly Prize winners will be selected in a random drawing to be conducted by SCA from among all eligible entries received by EM. The Quarterly Prize winners will be notified via e-mail (or certified mail and/or telephone if contestant is a mail-in entrant) within thirty (30) days after the selection of the winning entries (contestants should ensure that their contact information is accurate and up to date). The Quarterly Prize winners will be subject to eligibility verification. QUARTERLY PRIZE DESCRIPTION:
Each Quarterly Prize winner will receive, at EM’s sole and exclusive discretion, either: (a) Five Hundred Dollars ($500.00); or (b) a gift card worth Five Hundred Dollars ($500.00) as issued by a participating retailer, with such participating retailer to be selected by EM in its sole discretion. All gift cards must be redeemed by the Quarterly Prize winner within thirty (30) days from the date that such gift card is issued or the applicable gift card shall expire.

ODDS OF WINNING QUARTERLY PRIZE:
The odds of winning any Quarterly Prize depend upon the number of eligible entries received during the Promotion Period, as defined below.

LIMITED TIME ONLY:
The Promotion Period begins March 17, 2009 and ends March 16, 2010. Entries must be received by 11:59:59 p.m. Eastern Standard Time on March 16, 2010 to be eligible for the Grand Prize drawing and the fourth Quarterly Prize Drawing. Entries must be received by 11:59:59 p.m. Eastern Standard Time on June 16, 2009 to be eligible for the first Quarterly Prize drawing. Entries must be received by 11:59:59 p.m. Eastern Standard Time on September 16, 2009 to be eligible for the second Quarterly Prize drawing. Entries must be received by 11:59:59 p.m. Eastern Standard Time on December 16, 2009 to be eligible for the third Quarterly Prize drawing.

TAX INFORMATION:
Federal, state and local taxes, and all similar fees and assessments, are the responsibility of the winners. EM reserves the right to withhold taxes from each winning prize, as appropriate.

NO SUBSTITUTION OF WINNERS:
No substitution or transfer of prizes will be accommodated or permitted, other than as expressly set forth herein or in EM's sole discretion.

PUBLICATION:
Promotion entry constitutes permission for EM to use contestants' names and likenesses for advertising and promotional purposes without further compensation, excluding residents of the State of Tennessee and where otherwise prohibited by law.

SCA PROMOTIONS, INC.:
SCA is not involved in marketing the Promotion. SCA is not the sponsor of the Promotion and will not respond to any inquiries. SCA is responsible for the selection of the eight (8) digit winning number for the Grand Prize and the random drawings associated with the Quarterly Prizes.

RELEASE:
By entering the Promotion, each contestant agrees to release and hold harmless EM, SCA, each of their legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents from and against any and all liability for any injuries, loss or damage of any kind arising from, or in connection with, the Promotion including, but not limited to, liability arising from copyright infringement, improper use of likeness, personal injury, death, damages or monetary loss. Restrictions, conditions and limitations apply. By entering, each contestant further agrees that, in the event that there is any conflict or other inconsistency between the Rules and any advertisements, promotional or marketing materials, e-mails or announcements relevant to the Promotion, these Rules will govern.

CHOICE OF LAW:
Any disputes arising out of or related to the Promotion shall be governed by and construed in accordance with the laws of the State of New York (without regard to conflict of law principles). Should a dispute arise concerning the Promotion, the parties agree to submit their dispute for resolution to the Federal District Court for the Southern District of New York. Should any part of these Rules be held invalid or unenforceable, that portion shall be construed consistent with applicable law and the remaining portions shall remain in full force and effect.

DISQUALIFICATION:
EM, SCA, each of their legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, are not responsible for lost, interrupted or unavailable network server or other connections, miscommunications, failed telephone or computer transmissions or technical failure, lost online entries, jumbled, scrambled or misdirected transmissions, or other error of any kind, whether human, mechanical or electronic. Persons found tampering with or abusing any aspect of the Promotion, as solely determined by the judges, will be disqualified. If disqualified for any of the above reasons, EM reserves the right to terminate contestant's eligibility to participate in the Promotion. In the event that any portion of the Promotion is compromised by virus, bugs, non-authorized human intervention or other causes beyond the control of EM which, in the sole opinion of EM, corrupts or impairs the administration, security, fairness or proper determination of the Promotion, EM reserves the right, in its sole discretion, to suspend or terminate the Promotion or any part of the Promotion, or any combination of the above. EM, SCA, each of their legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents are not responsible for any problem with entries generated by computer hardware or software malfunction, error or failure, whatever the cause. EM's sole responsibility for any irregular entry is replacement with another entry in a subsequent drawing. If a potential winning entry is made by Internet or other computer entry, that potential winner may be required to provide EM with proof that the potential winner is the authorized account holder of the electronic mail address associated with the potential winning entry.

INDEMNIFICATION:
You agree to release, indemnify and hold EM, SCA, each of their legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents, harmless from and against any and all claims, expenses (including reasonable attorneys' fees, costs and settlement costs), damages, suits, costs, demands and/or judgments whatsoever, made by any third party due to or arising out of: (a) your use of the Promotion and/or the Website; (b) your breach of these Rules; and/or (c) your violation of any rights of another individual and/or entity. The provisions of this paragraph are for the benefit of EM, SCA, each of their legal representatives, affiliates, subsidiaries, parents, agencies and their respective members, officers, directors, employees and agents. Each of these individuals and entities shall have the right to assert and enforce these provisions directly against you on its own behalf.

LEGAL WARNING:
Any attempt by any individual, whether or not a contestant, to damage, destroy, tamper with or vandalize the Website, or otherwise interfere with the operation of the Promotion, is a violation of criminal and civil law and EM will diligently pursue any and all remedies in this regard against any offending individual or entity to the fullest extent permissible by law and in equity.
